These Terms of Service ("Terms") govern your access to and use of the website, software, and SaaS platform provided by Ketel AI, Inc. ("Ketel AI," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Provision of Services

Subject to these Terms and any applicable Order Form or Master Services Agreement, Ketel AI grants you a non-exclusive, non-transferable right to access and use the Ketel AI platform solely for your internal business operations.

2. User Accounts & Responsibilities

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must notify us immediately at security@ketel.ai if you suspect unauthorized access.
• Authorized Users: Access is limited solely to unique user identifiers. Credential sharing among multiple individuals is strictly prohibited.
• Acceptable Use: You agree not to:
  • Reverse engineer, decompile, or disassemble any portion of the platform.
  • Introduce malicious code, viruses, or harmful scripts.
  • Attempt unauthorized access to the platform, servers, or underlying networks.
  • Use the platform to process illegal, infringing, or unauthorized data.

3. Customer Data & Intellectual Property

• Customer Data Ownership: You retain all right, title, and interest in and to all data, content, and materials submitted or ingested into the platform ("Customer Data").
• Ketel AI IP: Ketel AI retains all right, title, and interest (including all intellectual property rights) in and to the platform, documentation, and underlying software.
• Data Protection: Ketel AI will maintain administrative, physical, and technical safeguards in accordance with our Security Policies to protect Customer Data.

4. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information (but not less than reasonable care) and shall not disclose such information to third parties except as permitted by these Terms.

5. Warranties & Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KETEL AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

IN NO EVENT SHALL KETEL AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL). KETEL AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Termination

Either party may terminate these Terms if the other party materially breaches any provision and fails to cure such breach within thirty (30) days of written notice. Upon termination, your right to access the platform will immediately cease, and Customer Data will be deleted in accordance with our Data Management Policy.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
